Welcome to Celeropus. By accessing or using our platform, website, mobile applications, or related services ("Services"), you agree to these Terms of Service ("Terms"). Please read them carefully before using Celeropus.

1. Acceptance of Terms

By using the Services, you confirm that you:

  • Are at least 18 years old and have the legal capacity to enter into binding contracts;
  • Are using the Services either as an individual or on behalf of an organization that has authorized you to do so; and
  • Have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not use our Services.

2. About Celeropus

Celeropus provides digital tools to help organizations and professionals manage fall-protection systems, inspections, clients, and compliance documentation in line with applicable safety standards (such as BS 7883:2019 and ISO 17020).

The Services are operated by Celeropus FZ-LLC (or its affiliates), registered in the United Arab Emirates under Free Zone commercial regulations.

We may modify, enhance, or discontinue parts of the Services at any time without prior notice.

3. Account Registration and Access

You may need to register an account to access certain features. You agree to:

  • Provide accurate, complete, and up-to-date information;
  • Maintain the confidentiality of your login credentials; and
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that appear compromised or in violation of these Terms.

4. Acceptable Use

You agree not to:

  • Use Celeropus for any unlawful, misleading, or unauthorized purpose;
  • Attempt to gain access to data or systems that you are not permitted to access;
  • Reverse-engineer, copy, or redistribute the software except as expressly allowed; or
  • Interfere with the performance, security, or integrity of our platform.

Violation of these conditions may result in immediate suspension or legal action.

5. Data Protection and Privacy

Celeropus is committed to protecting your personal data in accordance with the EU General Data Protection Regulation (GDPR) and the UAE Personal Data Protection Law (Federal Decree No. 45 of 2021).

Our Privacy Policy explains:

  • What data we collect and why;
  • How it is processed and stored;
  • Your rights to access, correct, or delete data; and
  • How to contact our Data Protection Officer.

By using our Services, you consent to the collection and processing of data as described in the Privacy Policy.

6. Intellectual Property

All platform content, source code, and associated materials are owned or licensed by Celeropus and are protected by international copyright and intellectual-property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services for your organization's internal purposes. You may not reproduce, modify, or resell any part of the platform without our prior written consent.

7. Subscription, Billing, and Cancellation

a. Paid Plans

Some features are available under paid subscription tiers. Fees are charged in advance and are non-refundable unless otherwise required by law.

b. Payment

  • All prices exclude VAT unless stated otherwise.
  • EU clients are responsible for any applicable VAT under the reverse-charge mechanism.
  • UAE clients are billed in AED and subject to UAE VAT where applicable.

c. Cancellation

You may cancel your subscription at any time via your account settings. Access will remain active until the end of your billing cycle.

8. Service Availability and Support

We aim to provide uninterrupted access to our Services, but we do not guarantee continuous uptime or error-free operation. Maintenance or upgrades may cause temporary interruptions.

9. Disclaimer of Warranties

Celeropus is provided on an "as-is" and "as-available" basis. We make no express or implied warranties, including fitness for a particular purpose, accuracy of data, or non-infringement.

We do not guarantee compliance outcomes or certification results — users remain responsible for ensuring their own regulatory compliance.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Celeropus and its affiliates shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
  • In any event, our total liability arising from these Terms shall not exceed the total amount paid by you in the 12 months preceding the claim.

Certain EU consumer rights may override parts of this limitation — nothing in these Terms removes rights you are legally entitled to.

11. Termination

We may suspend or terminate your access without notice if you breach these Terms or use the platform in a way that harms our business or other users.

Upon termination, your license to use the Services ceases immediately, and your data may be retained or deleted in accordance with our Privacy Policy.

12. Cross-Border Data Transfers

Data may be stored or processed in the UAE, the EU, or other jurisdictions offering adequate data-protection standards. We use lawful transfer mechanisms such as Standard Contractual Clauses (SCCs) or equivalent agreements to ensure compliance with EU and UAE data-transfer regulations.

13. Governing Law and Jurisdiction

These Terms shall be governed by:

  • For UAE clients: the laws of the United Arab Emirates, as applied in the relevant Free Zone jurisdiction;
  • For EU clients: the laws of the European Union and the member state where the client is established.

Any disputes will be subject to the exclusive jurisdiction of the Dubai International Financial Centre (DIFC) Courts for UAE clients, or the competent courts of the EU member state where the client resides.

14. Changes to Terms

We may update these Terms from time to time. Changes take effect upon posting the updated version on our website or app. Continued use after such changes constitutes acceptance of the new Terms.
